1. Agreement to These Terms

By visiting this website, sending an enquiry or agreeing a trade with the village desk, you accept these Terms of Service. If you do not accept them, you should not use the website and should not place a load through the desk.

These terms operate together with any written confirmation issued for a particular trade. Where a written confirmation differs from these terms, the confirmation governs the trade it describes, and these terms continue to apply to everything else.

No member of staff may vary these terms by word during a fair. A variation is valid only when it is written, dated and issued by the desk under the name of TaiAn ZhengXian Trading Co., Ltd.

2. The Company and the Village Desk

TaiAn ZhengXian Trading Co., Ltd. is a company operating in China. It runs a village market trading desk from its office at No 103, Beimanzhuang Village, Wenmiao Subdistrict, Ningyang County, TaiAn City - 271000, China (CN) and also provides computer integrated systems design services.

The trading desk is referred to in these terms as the village desk. Where these terms refer to the Company, they mean TaiAn ZhengXian Trading Co., Ltd. in either of its roles, unless a clause clearly refers to one role alone.

The Company may act as a buyer, as a seller or as an intermediary, depending on the trade. The written confirmation for each trade states which role the Company is taking, so that the responsibility for the goods and for the payment is clear from the start.

3. Eligibility and Authority

The village desk works with adults who trade on their own account or who represent a business. By using the desk you confirm that you are at least eighteen years old and that you have the authority to enter into the arrangement you are proposing.

Where you act for a business, you confirm that the business has authorised you to agree the partner sheet, the fair window and the settle up on its behalf. You also confirm that the information you give about the business, its stall and its contact details is accurate.

The Company may ask for reasonable evidence of identity or authority before accepting a first load. The evidence is used only for that purpose and is handled as described in the Privacy Policy.

4. Scope of Services

The Company offers six trading desk services: partner sheet bays, stall note runs, day-market letter desks, fair windows, stock review rounds and market sittings. Each service is described on the Services page and in the written confirmation for a trade.

A service may be taken alone or together with others. A buyer who takes only a partner sheet receives the bay and nothing else, and a grower who takes only a fair window receives the published hours and nothing else. The Company supplies exactly what the confirmation describes.

The Company does not provide legal, tax or regulatory advice, and nothing on this website should be read as such advice. A party who needs advice of that kind should consult a qualified professional.

The Company may decline a request that falls outside its capacity or that raises a question it cannot answer with the record available at the desk.

5. Partner Sheets and Bay Preparation

A partner sheet bay is prepared from information supplied by growers and confirmed by the desk before the market opens. The bay lists the stalls that will trade a named line, the load expected at each stall and the window in which the line will be offered.

The Company prepares the bay with care and checks each entry against the notice it came from. The Company does not guarantee that every grower will arrive with the full load described, because a village market depends on weather, transport and conditions that no desk controls. Where a load falls short, the bay is updated and the buyer is told before the window closes.

A partner sheet is prepared for the party named on it and may not be circulated to another buyer without the agreement of the desk. The bay describes a trading plan and does not itself transfer ownership of any goods.

6. Stall Notes and Counts

A stall note is written at the stall during the fair. It records the counted load and the price agreed at that stall, and it is signed by the member of the desk staff who wrote it. The stall note is the primary record of the count and is used to reconcile the day.

By offering a load at a stall on the partner sheet, a grower agrees that the count recorded on the stall note is the count for the trade, subject to the review described in clause 9. A buyer who takes goods on the strength of a stall note agrees that the figure on the note is the figure to be paid, subject to the same review.

If a grower believes that the note is wrong, the grower should raise the point at the bench before the midday settle. A point raised at the bench is checked against the load and, where necessary, corrected on the note. A point raised after the fair is handled through a stock review round or a market sitting.

7. Day-Market Letters

A day-market letter is a one-page notice of the opening position, dated the day it describes. It is sent to buyers who cannot attend the fair and it names the lines, the stalls and the fair windows that apply.

The letter is a summary of the plan as it stands when it is written. It is not a contract for the sale of any goods and does not bind the Company to supply a line if the stalls do not carry it. A letter that turns out to be inaccurate because a load did not arrive is corrected in the next letter and noted at the bench.

A buyer who relies on a letter should confirm the line through a partner sheet before sending a truck. The desk welcomes that confirmation because it allows the bay to be prepared for the buyer route.

8. Fair Windows

A fair window is the stated stretch of hours in which the desk will trade a named line. A window is published in advance and is treated as a commitment to both parties: the grower can rely on the desk being open for that line, and the buyer can rely on the line being available during those hours.

A window may be changed where a load is delayed, where a perishable line must be sold sooner, or where conditions at the market require it. A change is written, dated and issued through the same channel as the original window. The Company does not change a window by word along the lane.

Once a window closes, the desk will not trade that line until a new window is published. A buyer who arrives after a window closes should ask for the next window rather than relying on a stall that is no longer trading.

9. Stock Review Rounds and Settlement

A stock review round reconciles the day. The desk compares each stall note against the partner sheet, confirms what left the bench and what remained, and reads the count back to the grower. The result is written onto the day sheet and becomes the settled position for that trading day.

The settled position is the basis for payment. A party who accepts the position should arrange payment in the manner stated in the written confirmation. A party who does not accept the position should raise the point at once so that a market sitting can be booked before the record is closed.

The Company keeps the settled position for the retention period stated in the Privacy Policy. A party may ask for a copy of the position that concerns that party, and the Company will provide it unless doing so would reveal information about another person who has not agreed to share it.

10. Market Sittings

A market sitting is a scheduled conversation at the bench between the desk, a grower and a buyer, with the trading record open. It is used where a stock review round raises a question that cannot be answered from the sheets alone.

A sitting is booked with a date, a place and a stated subject. Each party may bring a companion and may ask for copies of the documents that will be used. The sitting ends with a written outcome signed by the parties present, and that outcome is added to the record for the trade.

The Company does not charge a fee for a first sitting that concerns a reconciled position from a fair in which it acted in the trade. A fee may apply where a sitting is requested for a matter unrelated to a settled position, and any fee is stated before the sitting is booked.

11. Prices, Payment and Taxes

Prices for goods traded at the desk are agreed at the stall and recorded on the stall note. Prices for desk services are stated in the written confirmation before the service begins. No price is final until it is written down and accepted by both parties.

Payment is made in the manner and within the period stated in the confirmation. Where a payment is late, the Company may suspend further service for the party concerned until the position is settled, and it will tell the party in writing before doing so.

Each party is responsible for the taxes that apply to its own side of a trade. The Company issues the documents required for ordinary accounting and will cooperate with a party that needs a further document for its own records.

Currency, where a trade involves more than one, is stated in the confirmation. A bank charge for a transfer is borne by the party that instructs the transfer unless the confirmation states otherwise.

12. Goods, Delivery and Risk

Ownership of goods passes at the point stated in the written confirmation. Where the confirmation is silent, ownership passes when the settled position for the trade is written onto the day sheet and payment has been received.

Risk in the goods passes in the same way, unless the confirmation states a different point. A party arranging carriage should insure the load from the moment risk passes, particularly where the goods are perishable or travel a long distance.

The desk checks a load at the beam before it leaves the bench. A party that receives goods in a condition different from the stall note should report the difference within two business days, with a photograph where possible, so that the point can be handled while the record is fresh.

Goods that are prohibited, unsafe or unlawful in the place of delivery may not be traded through the desk. The Company may refuse such goods and will return them to the party that offered them at that party cost.

13. Acceptable Use of the Website

The website is provided for lawful enquiry and information about the services of the Company. You may read the pages, print them for your own reference and share a link to them with another party who may be interested in the desk.

You may not attempt to interfere with the operation of the website, gain access to systems you are not authorised to use, send malicious code through the contact form or use the site to send unsolicited commercial messages. You may not copy the text of this website for publication elsewhere without written permission.

The Company may restrict access to the website where it reasonably believes that the site is being misused. It will restore access when the reason for the restriction has ended.

14. Systems Design Work

Where the Company is engaged to design or maintain an information system for a partner, the engagement is governed by the written confirmation for that work. The confirmation describes the scope, the timetable, the acceptance criteria and the fee for the engagement.

The Company designs systems that a village user can read and operate. It does not guarantee that a system will be free of every defect, and it does not take responsibility for a decision that a partner makes outside the scope of the engagement.

A partner that supplies data to the Company for systems work confirms that it may lawfully share that data. The Company uses the data only for the agreed work and returns or deletes it at the end of the engagement in a manner that can be verified.

15. Intellectual Property

The text, layout and design of this website belong to TaiAn ZhengXian Trading Co., Ltd. The name of the Company, the name of the village desk and the written shape of the desk documents are part of the identity of the Company.

A partner sheet, a stall note and a day-market letter are prepared for a named party and may be used by that party for the trade they describe. They may not be reproduced for another purpose or presented as the work of another organisation.

Where systems work produces software or documentation, ownership is stated in the written confirmation. In the absence of a statement, the Company keeps ownership of the underlying tools and grants the partner a licence to use the delivered system for its own business.

16. Confidentiality

Each party keeps the confidential information of the other party in confidence. Information is confidential where it is marked as such or where a reasonable person would understand that it is not public, including stall positions, buyer routes and the content of a market sitting.

Confidential information may be shared with a service provider that needs it for the work and is bound by a duty of confidence. It may also be disclosed where the law requires it, provided that the party making the disclosure tells the other party where it is lawful to do so.

The duty of confidence continues for three years after the trade or engagement ends, and continues for as long as the information remains confidential where it has not entered the public domain.

17. Disclaimers

The website is provided as it stands. The Company works to keep the information on it accurate and current, but it does not promise that every page will be free from error or that the site will always be available without interruption.

A partner sheet, a day-market letter and a fair window describe a trading plan. They do not guarantee that a particular load will be present at a particular stall, because a village market depends on conditions outside the control of any desk.

Nothing in these terms limits a responsibility that cannot be limited by law. Where a law in the place of the party concerned gives a right that cannot be excluded, that right continues to apply notwithstanding these terms.

18. Limitation of Liability

The Company is responsible for a loss that is a direct result of its own failure to carry out the service it agreed. It is not responsible for an indirect loss, such as a lost opportunity, a loss of goodwill or a loss arising from a third party, unless the law requires otherwise.

Where the Company is responsible for a loss connected with a trade, its responsibility is limited to the value of the desk service fee for that trade, or to the value of the goods where the Company held the goods at the time of the loss, whichever is lower. A different limit may be agreed in the written confirmation.

A party should tell the Company about a claim within thirty days of the settled position for the trade, so that the record can be examined while it is still fresh. A claim raised later may still be considered, but the delay makes it harder to check.

19. Suspension and Termination

The Company may suspend a service where a party fails to pay, provides information that is knowingly false or behaves at the bench in a way that endangers staff or other traders. Before suspending a service, the Company will tell the party in writing and give a reasonable chance to put the matter right.

Either party may end an ongoing arrangement by giving written notice. Ending an arrangement does not affect a trade that has already been confirmed, and the settled position for that trade continues to apply.

After an arrangement ends, the Company keeps the records required by law for the period described in the Privacy Policy and deletes the rest in the ordinary course of maintenance.

20. Events Beyond Control

Neither party is responsible for a delay caused by an event beyond its reasonable control, including severe weather, flooding, road closure, a public health restriction, a failure of a public utility or a decision of a public authority.

A party affected by such an event should tell the other party promptly and should take reasonable steps to reduce the effect. Where the event continues for a long period, either party may end the affected arrangement without penalty, and any settled position for a trade already completed remains payable.

21. Governing Law and Disputes

These terms are governed by the law of China. A dispute is first raised with the village desk in writing, because most questions can be answered from the record.

Where a dispute cannot be settled in writing, the parties will book a market sitting to discuss it in person. If the sitting does not resolve the matter, the parties will attempt mediation before starting a formal proceeding. The courts of the place where the Company is established have jurisdiction over a matter that reaches a formal proceeding, unless a written confirmation states otherwise.

Nothing in this clause prevents a party from seeking urgent relief where the law allows it.

22. Changes to These Terms

The Company may update these terms from time to time to reflect a change in its services or in the law. An updated version is published on this page with a new effective date.

A trade that has already been confirmed is governed by the terms that applied when it was confirmed. A new trade is governed by the terms in force on the day it is confirmed. The Company keeps earlier versions so that the position for a past trade can be checked.

A party who continues to use the website or the desk after an update is treated as having accepted the updated terms for future trades.

23. Contact Information

Questions about these terms, a request for a written confirmation or a notice under these terms should be sent to the village desk at the address below. Written contact allows both parties to keep a record of what was agreed.
